FOPEC Delivery Rider Agreement

Independent Contractor Agreement - Version 1.0

This Agreement is made between FOPEC ("FOPEC", "the Company"), of Fort Portal Tourism City, Uganda, and the person who has submitted a Rider Application ("the Rider").

1. Nature of Relationship

1.1 The Rider is engaged as an independent contractor, not an employee of FOPEC.

1.2 The Rider provides their own means of transport (motorcycle, bicycle, or van), fuel, and maintenance.

1.3 The Rider is free to accept or decline any delivery assignment.

1.4 Nothing in this Agreement creates an employment relationship, partnership, or agency between the parties, save as expressly set out.

2. Compensation

2.1 The Rider is paid per delivery completed, at rates agreed in writing between FOPEC and the Rider and updated from time to time.

2.2 Payment is made after successful delivery and confirmation on the FOPEC platform.

2.3 The Rider is responsible for their own taxes, licences, and insurance as required by Ugandan law.

3. Rider Obligations

The Rider agrees to:

  • Handle all packages with reasonable care.
  • Deliver to the correct address and confirm with the customer.
  • Remit any cash collected on delivery (Cash on Delivery) to FOPEC within 24 hours or as agreed.
  • Treat customers, FOPEC staff, and vendors with respect.
  • Keep the customer's personal information (name, phone, address, order contents) strictly confidential.
  • Not use FOPEC branding, data, or access for personal benefit or for any other delivery business.
  • Promptly report any incident (accident, theft, loss, damage, dispute with customer) to FOPEC.

4. Prohibited Conduct

The following are grounds for immediate termination and penalties:

  • Loss of goods, or failure to deliver a package without a valid, reported reason.
  • Failure to remit cash collected from customers.
  • Fraud or falsifying delivery confirmation on the platform.
  • Theft of FOPEC property, goods, or a customer's belongings.
  • Disclosure of customer data to any third party.
  • Abandoning assigned deliveries mid-route without notice.
  • Violence, threats, harassment, or abusive conduct toward anyone.
  • Operating under the influence of alcohol or illegal drugs.

5. Penalties

5.1 Security Deposit: The Rider shall maintain a security deposit with FOPEC, the amount of which is agreed separately. The deposit may be forfeited, in whole or in part, to cover verified losses, unremitted cash, or damages.

5.2 Fixed Penalties: FOPEC may deduct from future earnings or from the security deposit a fixed amount per incident, as published in the FOPEC Rider Policy (available on request). For example, a fixed penalty for each undelivered package or each reported failure to remit COD cash.

5.3 Termination: FOPEC may immediately terminate this Agreement without notice for any breach of Clause 4.

5.4 Legal Referral: For theft, fraud, or any criminal conduct, FOPEC will report the matter to the Uganda Police Force and cooperate with prosecution.

5.5 Recovery: Nothing in this Agreement prevents FOPEC from recovering any losses through the courts, in addition to the penalties above.

6. Insurance & Liability

6.1 The Rider is responsible for third-party motor insurance, personal accident cover, and any other cover required by law.

6.2 The Rider is liable for loss or damage to goods caused by their negligence or misconduct while the goods are in their care.

7. Data Protection

7.1 The Rider shall not copy, screenshot, forward, or disclose any customer data received through the FOPEC platform.

7.2 Breach of this clause is a material breach and will result in termination and possible legal action under the Uganda Data Protection and Privacy Act, 2019.

8. Term & Termination

8.1 This Agreement takes effect when the Rider is approved by FOPEC and continues until terminated by either party.

8.2 Either party may terminate on 7 days' written notice. FOPEC may terminate immediately for breach of Clause 4.

9. Dispute Resolution

9.1 The parties will first attempt to resolve any dispute through good-faith negotiation.

9.2 If unresolved, the dispute shall be referred to mediation in Fort Portal, and if still unresolved, to the courts of Uganda.

10. Governing Law

This Agreement is governed by the laws of the Republic of Uganda.

11. Acceptance

By submitting a Rider Application and providing the digital signature below, the Rider confirms that they have read, understood, and agreed to this Agreement.
